Bill & Hold Contract Agreement – NY

All sales, including those designated as Bill and Hold ("B&H") transactions, are due and payable in full within thirty (30) days from the date of invoice ("Net 30"). All storage invoices are subject to standard Net 30 payment terms. A daily storage fee of $0.03 per case, per SKU will apply to all B&H inventory. Storage invoices will be issued monthly, at the end of each calendar month, and will reflect all inventory held since the original date of purchase. This storage rate is subject to change with sixty (60) days' prior written notice, in accordance with Skurnik Wines & Spirits' contractual agreement with its warehouse provider. Products that have been sold but not yet shipped will be insured by Skurnik Wines & Spirits at their selling price until delivery to the customer.

Each B&H shipment is subject to a minimum of either three (3) cases or four hundred dollars ($400) in product value. B&H orders may be combined with non-B&H items for shipment. A zero-dollar value bill of lading will accompany all shipments of products originally purchased under a B&H agreement. All B&H inventory must be shipped within twelve (12) months of the original purchase date. Any inventory remaining beyond this period will be automatically shipped to the customer on the next available shipping date. Skurnik Wines & Spirits will reattempt delivery of any failed shipments until successfully completed. Customers may be held responsible for any additional shipping or restocking fees resulting from repeated failed delivery attempts.

All Bill and Hold inventory is stored at the following designated warehouse facility: Alba Wines & Spirits, 31 Saw Mill Pond Road, Edison, NJ 07075

All Bill and Hold transactions and related policies are conducted in compliance with the rules and regulations of the New York State Liquor Authority.
